By accessing or using CarAppraisal ("the Service"), including our web application and mobile application (collectively, "the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and CarAppraisal ("we," "our," or "us"). We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

CarAppraisal provides a vehicle appraisal platform designed for automotive dealerships and professionals. The Service includes:

• Vehicle appraisal creation and management tools
• Photo capture and storage for vehicle documentation
• AI-powered vehicle insights and market analysis
• Wholesale listing and marketplace features
• Messaging between dealership users
• Team management and collaboration tools
• Offline functionality with automatic data synchronisation

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised use of your account
• Ensuring your account information remains accurate and up to date

You must be at least 18 years old to create an account and use the Service.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Submit false, misleading, or fraudulent appraisal information
• Attempt to gain unauthorised access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts or bots to access the Service without our permission
• Upload malicious content, viruses, or harmful code
• Harass, threaten, or abuse other users through the messaging features

5. User Content

Ownership

You retain ownership of all content you submit through the Service, including appraisal data, vehicle photos, and messages. By using the Service, you grant us a limited licence to store, process, and display your content as necessary to provide the Service.

Responsibility

You are solely responsible for the accuracy and legality of all content you submit. Vehicle appraisals are professional assessments and should reflect honest, good-faith evaluations.

Photos

Photos uploaded to the Service are stored securely and are only accessible to authorised users within your dealership and any parties you share appraisals with. We do not use your photos for any purpose other than providing the Service.

6. AI-Powered Features

The Service includes AI-powered features such as vehicle insights, market analysis, and appraisal assistance. You acknowledge that:

• AI-generated insights are provided for informational purposes only and should not be the sole basis for business decisions
• AI outputs may contain inaccuracies and should be verified independently
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are responsible for reviewing and validating all AI-assisted appraisals before use

7. Wholesale Marketplace

The wholesale marketplace feature facilitates communication and listing between dealerships. You acknowledge that:

• CarAppraisal acts as a platform facilitator, not a party to any wholesale transaction
• All transactions are conducted directly between the participating dealerships
• We do not guarantee the accuracy of listings or the outcome of any offer or negotiation
• You are responsible for conducting your own due diligence on any vehicle or transaction

8. Subscription and Billing

Access to the Service is provided on a subscription basis. By subscribing, you agree to:

• Pay the applicable subscription fees as described on our pricing page
• Provide accurate billing information
• Accept that subscription fees are billed in advance and are non-refundable except as required by law

We reserve the right to modify pricing with reasonable notice. You may cancel your subscription at any time through your account settings.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You may request deletion of your account and associated data at any time through the app settings or by contacting support.

10. Intellectual Property

The Service, including its design, features, code, and branding, is the intellectual property of CarAppraisal and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless CarAppraisal and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time if:

• You breach these Terms
• You engage in fraudulent or illegal activity
• Your subscription payment fails and is not resolved within a reasonable period
• We are required to do so by law

You may terminate your account at any time by deleting your account through the app settings or contacting support.

14. Governing Law

These Terms are governed by the laws of Australia. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of New South Wales, Australia.
